Q: Do all companies, irrespective of size, require a company secretary?

Currently all limited companies are required to have a company secretary. However under proposals included in the 2006 Companies Act the government is suggesting that private companies will not be required to have a company secretary. However, they will still have the option to appoint/retain a company secretary with the same rights and responsibilities as a secretary of a public limited company. The change to allow private companies to not have a company secretary recognises that for small private companies there is usually no need. The government has yet to specify when the new laws regarding company secretaries will take effect.
